Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Chef Zem (“Chef Zem”, “we”, “us”, or “our”) governing your access to and use of the Chef Zem website and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least the age of majority in your province or territory of residence, or the age of 13 or older with the consent and supervision of a parent or guardian, to use the Service. By using the Service, you represent that you meet these requirements and that the information you provide is accurate.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use. We are not liable for any loss arising from unauthorized use of your account where you failed to keep your credentials secure.

You agree not to:

• use the Service for any unlawful, harmful, or fraudulent purpose;
• submit content that is illegal, infringing, or that you do not have the right to submit;
• attempt to gain unauthorized access to the Service, other accounts, or our systems;
• interfere with or disrupt the Service, circumvent usage limits, or scrape or harvest data without permission;
• misuse the AI features, including attempts to generate unsafe, abusive, or prohibited content; or
• resell or commercially exploit the Service without our written consent.

We may suspend or terminate access that violates these Terms or that we reasonably believe is harmful to the Service or other users.

You retain ownership of the recipes, notes, and other content you create or submit (“Your Content”). You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display Your Content solely to operate and provide the Service to you (including backups).

You are responsible for Your Content and represent that you have the necessary rights to submit it. We do not claim ownership of AI outputs generated for you, but you acknowledge that similar outputs may be generated for other users and that AI outputs may not be original or protectable.

The Service uses artificial intelligence to generate recipes, meal plans, and related suggestions. These outputs are provided “as is” for informational purposes and may be inaccurate, incomplete, or unsuitable for your circumstances.

AI-generated content is not professional culinary, nutritional, medical, or health advice. You are solely responsible for evaluating food safety, allergens, ingredient suitability, and dietary needs before preparing or consuming any recipe. If you have allergies or medical conditions, consult a qualified professional.

Certain features require a paid subscription (“Pro”). Paid plans are billed in advance on a recurring basis through our third-party payment processor. By subscribing, you authorize us and our payment processor to charge your payment method for the applicable fees, including any taxes.

You may cancel at any time from your account settings. Cancellation takes effect at the end of your current billing cycle, and you will retain access to paid features until then. Except where required by applicable law, payments are non-refundable and we do not provide refunds or credits for partial billing periods. We may change our fees on reasonable prior notice; changes apply to subsequent billing cycles.

We may modify, suspend, or discontinue any part of the Service at any time, including features and usage limits. We aim to provide reliable access but do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We may perform maintenance or updates that temporarily affect availability.

To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service or any AI output will meet your requirements or be accurate or reliable. Nothing in these Terms limits any rights you may have as a consumer under applicable Canadian law that cannot be lawfully excluded.

To the maximum extent permitted by applicable law, Chef Zem and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of (or inability to use) the Service or any AI output, even if we have been advised of the possibility of such damages.

To the extent liability cannot be excluded, our total aggregate liability arising out of or related to the Service will not exceed the greater of the amount you paid us in the twelve (12) months before the event giving rise to the claim, or CAD $50.

You agree to indemnify and hold harmless Chef Zem and its personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

You may stop using the Service and delete your account at any time from your account settings. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, the licenses you grant us end, except for content retained in backups or as required by law, and sections that by their nature should survive (such as ownership, disclaimers, limitation of liability, and indemnification) will survive.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. Subject to any mandatory consumer-protection rights in your province of residence, you agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute arising out of or relating to these Terms or the Service.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
